Terms and Conditions

At Ownbase, we work on the basis of the NLdigital Terms and Conditions 2025. These are the standard terms for the digital sector in the Netherlands, drawn up by industry association NLdigital and registered with the District Court of Midden-Nederland. They are widely used in the ICT sector and provide a balanced foundation for both client and supplier.

The key points at a glance

Our services

We carry out our work to the best of our ability. Our services are based on a best-efforts obligation, unless we have expressly agreed on a specific result. We always work on the basis of a written agreement.

Prices and payment

All prices are in euros, excluding VAT. Invoices are to be paid within the period stated on the invoice. For ongoing subscriptions such as our management contract, we reserve the right to adjust our rates once per year at most, with a minimum of three months’ notice. If you do not agree with a price adjustment, you may terminate the agreement with effect from the date the new price comes into force.

Duration and termination

Fixed-term agreements are automatically renewed for the original duration, up to a maximum of one year, unless you give written notice at least three months before the end date. Open-ended agreements may be terminated by either party with reasonable notice.

Intellectual property

All intellectual property rights in software, websites and other materials developed by us remain with us, unless expressly agreed otherwise in writing. You receive a right of use for the agreed purposes.

Confidentiality

We treat all information you share with us as confidential. The same applies in reverse: information we share with you about our working methods, processes or systems is confidential.

Liability

Our liability is limited to direct damages, up to a maximum of the amount agreed for the relevant assignment, and never exceeding €500,000. Indirect damages, consequential loss and loss of profit are excluded. This limitation does not apply in cases of intent or wilful misconduct.

Processing of personal data

Where we process personal data on behalf of your organisation in the course of our services, we act as a data processor. The NLdigital Terms and Conditions include a data processing agreement in accordance with the GDPR (Article 28). We record practical arrangements regarding the processing activities in the agreement.

Cybersecurity

We take appropriate technical and organisational security measures, tailored to the nature of the services and the current state of technology. We will inform you of any relevant changes to our security measures.

Hosting and management

Additional provisions apply to our hosting services regarding availability, maintenance and back-ups. Agreements on specific service levels (SLA) are always recorded in writing.

Disputes

All agreements are governed by Dutch law. Disputes are in the first instance resolved through ICT arbitration (SGOA). We always prefer consultation and mediation before matters reach that stage.
